1. General and definitions

Welcome to Bookily (the "Service" or the "Platform"), operated by C.T. Technologies Ltd. (the "Company", "we"). These terms of use (the "Terms") are a binding legal agreement between you, the business owner using the Service (the "User", "you"), and the Company. Registering, signing in or any other use of the Service is full agreement to these Terms and to the privacy policy. If you do not agree to the Terms, please do not use the Service.

2. Description of the Service

Bookily is a cloud platform (SaaS) for managing service businesses. Depending on the plan chosen, it includes an appointment calendar, a self-service booking page for customers, customer management, SMS and broadcast messages, invoice issuing, staff and permission management, reports and analytics, and, on the Business plan, a business website, a co.il domain and a business mailbox. The Company may update, add or remove features from time to time, provided it does not materially harm the core of the Service purchased.

3. Registration, account and access security

Registration is for business owners aged 18 and over. You must provide full and accurate details (business name, contact details, the system manager’s email) and update them when they change. You are responsible for keeping the passwords of all users on the business account confidential and for every action taken with them. You must tell us immediately of any unauthorised use. Every additional user you add to the account is bound by these Terms, and you are responsible for their actions.

4. Plans, prices and payment

The Service is offered in subscription plans (Basic, Pro, Business) and add-ons as set out on the pricing page, which is an integral part of these Terms. You can choose monthly billing or yearly billing in advance, which includes a 20% discount on the plan price. All prices shown include VAT as required by law. Charges are made in advance at the start of each subscription period using the payment method provided, and the invoice is sent to the system manager’s email. The Company may update prices with at least 30 days’ notice; the update applies from the next billing period.

5. Usage allowances and add-ons

Each plan includes monthly allowances (users, SMS, invoices, self-booked appointments and more). Unused allowances do not carry over to the next month. Add-ons can be bought at any time; monthly add-ons are billed together with the subscription and can be removed from the next billing period. One-time add-ons (such as setup and data import) are not refundable once carried out.

6. Changing plans, cancelling and refunds

You can upgrade a plan at any time, and the upgrade takes effect immediately with a proportional charge. A downgrade takes effect in the next billing period. A monthly subscription can be cancelled at any time, and the cancellation takes effect at the end of the paid month; no proportional refund is given for a month that has started. A yearly subscription can be cancelled, and the cancellation takes effect at the end of the paid subscription year; no refund is given for the remaining months, except as required by the Consumer Protection Law.

7. Permitted use and prohibitions

The Service is for running your business only. It is forbidden to: use the Service for unlawful purposes; send messages without the recipients’ consent or in breach of the Communications Law (Telecommunications and Broadcasting), 1982 (section 30A, the "Spam Law"); upload content that is offensive, misleading or infringes rights; try to break into, disrupt or overload the system; sell, rent or transfer access to the Service to a third party; or use the Service to build a competing product.

8. The user’s responsibility for communication with their customers

You are solely responsible for the content of the messages, invoices and pages you produce through the system, and for obtaining lawful consent from your customers to receive marketing messages, including the option to opt out. The Company provides the tools only and is not a party to the relationship between you and your customers. You undertake to indemnify the Company for any claim, fine or damage caused by messages you sent in breach of the law.

9. Business data and end-customer data

All the data you enter into the system, including your customers’ details, remains yours. The Company acts as a "holder" and processor of information on your behalf, according to your instructions and the Privacy Protection Law, 1981 and its regulations. You confirm that you have the legal basis to collect and enter your customers’ data. We will not use your customers’ data for our own purposes and will not sell it. You can export the data at any time through the system.

10. Intellectual property

All rights in the platform, including the code, design, interface, logo, the "Bookily" trademarks and the marketing content, belong to the Company or to third parties who licensed them to it. You are granted a limited, personal, non-exclusive and non-transferable licence to use the Service in line with these Terms. For a business website built under the Business plan, the content and images you provided belong to you; the template and code belong to the Company. The domain registered for you is registered in the business name, and you can transfer it when the subscription ends.

11. Service availability and maintenance

The Company works for maximum availability of the Service (an availability target of 99.5% on a monthly basis), but does not promise uninterrupted availability. There may be breaks for planned maintenance, which will be announced in advance where possible, and unplanned breaks. Sending SMS messages and external communication also depend on communication providers outside the Company’s control.

12. Limitation of liability

The Service is provided as is (As-Is) and subject to its availability. The Company will not be liable for any indirect or consequential damage, loss of revenue, loss of customers or loss of data caused by use of the Service, its interruption, a message failing to reach its destination or an action of a third party. In any case, the Company’s total liability to you will not exceed the amount you actually paid for the Service in the three months before the event. Nothing here limits liability that cannot be limited by law.

13. Indemnification

You undertake to indemnify and compensate the Company, its employees and its managers for any claim, demand, damage, expense or fine (including attorneys’ fees) arising from your breach of these Terms or a breach by users on your account, from infringement of third-party rights, or from content and communication you sent through the Service.

14. Termination and suspension of the Service

The Company may suspend or end access to the Service in case of a breach of the Terms, non-payment not corrected within 14 days of notice, or use that harms other users or the infrastructure. When a subscription ends, for any reason, the account data is kept for 90 days for export and then deleted permanently, in line with the privacy policy.

15. Changes to the Terms

The Company may update these Terms from time to time. For a material change, notice will be given by email or inside the system at least 14 days before it takes effect. Continued use of the Service after the change takes effect is agreement to the updated Terms. The current version will always be published on this page.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel only. The competent courts in the Tel Aviv-Jaffa district have exclusive jurisdiction over any dispute arising from these Terms or from use of the Service.

17. Contact

For questions about the terms of use, you can contact C.T. Technologies Ltd. through the "Contact" page on the site. We will try to reply within three business days.
